What These Terms Cover

These Terms and Conditions apply to all interactions with the Provider across every platform, product, and service. They apply regardless of how access was obtained — directly, through referral, through social media, through the podcast, or through any third-party channel.

By accessing any free content, downloading any digital asset, completing any assessment, making any payment, or submitting any application to the Provider, the Client agrees to be bound by these Terms in full. If the Client does not agree, they must cease all engagement immediately.

These Terms are supplemented by the Provider's Refund Policy, Usage Rights Policy, and Data & Privacy Policy — all of which form part of the complete legal agreement between the Client and the Provider. In the event of any conflict between these documents, these Terms and Conditions take precedence.

Payment is accepted via bank transfer, credit card, debit card, and approved payment processors. All processing fees are the responsibility of the Client. The Provider is not responsible for currency conversion costs incurred by international Clients.

Where payment plans are offered, the following conditions apply:

  • Payment plans are offered at the Provider's discretion and are not available as a right
  • A minimum of 50% of the total investment is required upfront before any engagement begins
  • All subsequent payments must be received on the schedule confirmed at acceptance
  • Late payment may result in suspension of deliverables without refund of amounts already paid
  • The final debrief session (in Executive Diagnostic engagements) will not be conducted until all payments are received in full
  • Failure to complete a payment plan does not entitle the Client to a refund of amounts already paid

Tax obligations arising from any purchase are the sole responsibility of the Client in accordance with the laws of their jurisdiction.

Delivery Commitments and Conditions

The Provider commits to the following delivery timelines, subject to the conditions stated below:

Free Snapshot Reports:Delivered within 24 hours of assessment completion
Blueprint Reports (Tier 2):Delivered within 48 hours of assessment completion
Executive Diagnostic Reports (Tier 3):Delivered within 72 hours of assessment completion
Custom Institutional Roadmaps:Delivered within 7 days of the debrief session
Digital Products (courses, books, downloads):Delivered immediately upon payment confirmation or within 24 hours

These timelines are conditional upon the Client completing the assessment in full, providing accurate information, and having completed all prerequisite tiers. The Provider is not responsible for delivery delays caused by incomplete assessments, inaccurate Client information, or technical issues on the Client's side.

In the event that the Provider fails to deliver within the committed timeline for reasons attributable solely to the Provider, the Client should contact the Provider in writing. The Provider will make all reasonable efforts to deliver within 7 days of the missed deadline before any remedy discussion is initiated.

Ownership, Licensing, and Restrictions

All intellectual property produced by the Provider — including but not limited to the IDF Canon framework, the 12 Structural Laws of Institutions, assessment question designs, report structures, branding, podcast content, book content, course content, frameworks, methodologies, and all associated materials — is the exclusive property of Dr. Eunice Irewole / Irevia Holdings.

By purchasing or accessing any Product or Service, the Client receives a limited, non-exclusive, non-transferable, non-sublicensable licence to use the delivered materials for their own personal and institutional purposes only. This licence does not grant the Client any ownership rights in the materials.

The Client expressly agrees not to:

  • Reproduce, copy, republish, or distribute any Provider materials in any format
  • Sell, license, or commercialise any Provider materials or frameworks
  • Use the IDF Canon, its Laws, or any associated framework in any commercial offering without written permission from the Provider
  • Present Provider materials — including personalised reports — as the Client's own intellectual work
  • Train any artificial intelligence model on Provider content or materials
  • Create derivative works based on Provider frameworks without explicit written permission
  • Share login credentials, assessment links, or digital product access with any third party

The Provider's brand names — including Dr. Eunice Irewole, IDF Canon, Empire Talk, Irevia Holdings, Irevia Advanced Systems, Irevia Studio, Irevia Foundation, Empire Assessment Ecosystem, and all associated product names — are protected intellectual property. Unauthorised use constitutes trademark infringement.

Requests for permission to reference or cite the IDF Canon in academic or professional contexts should be directed to the Provider in writing. Such requests will be considered on a case-by-case basis and are not automatically granted.

Mutual Confidentiality Obligations

Provider obligations to the Client: All information shared by the Client in the course of any engagement — including assessment responses, business information, personal circumstances, financial details, strategic plans, and institutional context — is treated as strictly confidential by the Provider. This information will not be shared with any third party without the Client's explicit written consent, except where required by law.

Client obligations to the Provider: Any non-public information shared by the Provider with the Client in the course of an engagement — including unpublished frameworks, proprietary methodologies, session content, and strategic approaches — is confidential and must not be shared with any third party without written permission from the Provider.

Testimonials and case studies may be used by the Provider with the Client's written consent. No Client will be identified publicly without their prior approval. Anonymised case studies may be used for illustrative purposes without individual consent.

What the Provider Cannot Guarantee

Important Disclaimer

The Provider's products and services are structural diagnostic and advisory tools. They are not financial advice, legal advice, psychological counselling, medical advice, or therapy. No guarantee of specific business, financial, career, personal, or institutional outcomes is made or implied.

The accuracy and completeness of diagnostic findings and architectural recommendations are dependent on the accuracy and completeness of information provided by the Client. The Provider cannot be held responsible for findings or recommendations based on incomplete, inaccurate, or misleading information provided by the Client in assessment responses or application materials.

The Provider's total liability to the Client under these Terms, for any reason whatsoever, shall not exceed the total amount paid by the Client for the specific engagement giving rise to the claim. The Provider is not liable for any indirect, incidental, consequential, or punitive damages arising from any engagement.

The Provider makes no representation that any product or service will produce specific results within a specific timeframe. Institutional and structural change is a process — the speed and magnitude of outcomes are determined by the Client's circumstances, actions, and implementation.

How You May and May Not Use Provider Content

The Client agrees to use all Provider products, services, and platforms in good faith and in accordance with these Terms. The following uses are expressly prohibited:

  • Using any Provider product or service for any unlawful purpose
  • Attempting to gain unauthorised access to any Provider system, database, or account
  • Using any Provider platform to distribute spam, malware, or unsolicited communications
  • Submitting false, fraudulent, or misleading information in any assessment or application
  • Impersonating Dr. Eunice Irewole, any Provider brand, or any Provider representative
  • Using Provider materials to create competing products or services
  • Sharing assessment access or digital product access with any unauthorised third party
  • Engaging in any conduct that damages, disrupts, or interferes with the Provider's platforms or reputation

When and How Engagements End

The Provider reserves the right to terminate any engagement immediately and without refund in the event that the Client:

  • Breaches any provision of these Terms
  • Provides false or fraudulent information in any assessment or application
  • Engages in conduct that is abusive, threatening, or harmful toward the Provider or any associated person
  • Violates the intellectual property provisions of these Terms
  • Fails to comply with payment obligations

The Client may discontinue use of free content at any time by simply ceasing to engage. For paid engagements, discontinuation does not entitle the Client to a refund — the full Refund Policy applies.

Termination of any engagement does not affect the continued operation of these Terms regarding intellectual property, confidentiality, governing law, and any other provisions that by their nature should survive termination.

Legal Framework and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

In the event of a dispute arising from or related to these Terms or any engagement, the parties agree to first attempt resolution through good-faith written communication within 30 calendar days of the dispute arising.

If resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration administered in accordance with the Arbitration Act of Ontario. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding on both parties.

By making any payment or accessing any paid service, the Client expressly waives the right to pursue disputes through litigation in any court of law, to the fullest extent permitted by applicable law. Class action proceedings are expressly waived.

Nothing in this section prevents the Provider from seeking urgent injunctive relief in any court of competent jurisdiction to protect its intellectual property or prevent ongoing harm.

How These Terms May Change

The Provider reserves the right to modify these Terms at any time. The most current version will always be available at euniceirewole.com/legal. The date of the most recent revision is indicated at the top of this document.

The Terms applicable to any specific engagement are those in effect at the time of the Client's payment confirmation or acceptance. Modifications to Terms do not apply retroactively to active engagements.

Continued use of any Provider product, service, or platform following modification of these Terms constitutes acceptance of the modified Terms.

you confirm that you have read, understood, and agree to these Terms and Conditions in full.
